1 Agreement to these terms

These Terms of Service (“Terms”) are an agreement between you and Faded Forward (“Faded Forward,” “we,” “us,” or “our”) governing your access to our websites, features, communications, and marketplace services (collectively, the “Services”).

Our Privacy Policy, Cookie Policy, Trust & Protection guidance, and any checkout, promotion, donation, or feature-specific terms shown to you are incorporated into these Terms. If feature-specific terms conflict with these Terms, the feature-specific terms control for that feature.

You accept these Terms electronically when you create an account, select a button indicating acceptance, place an order, publish a listing, make a donation, or otherwise use the Services after being given access to them.

2 Accounts and eligibility

You must be at least 18 years old and legally able to enter into a binding agreement. You may use the Services only where doing so is lawful. If you use Faded Forward for an organization, you confirm that you are authorized to bind that organization.

Provide accurate, current information and keep it updated. You are responsible for your account credentials and activity. Notify us promptly through the Help Center if you suspect unauthorized access.

We may request identity, contact, tax, payout, or business information to prevent fraud, enable payments, comply with law, or verify certain sellers. You may not impersonate another person, create an account using false information, transfer your account without permission, or use another person’s account.

3 How the marketplace works

Faded Forward provides technology that helps members list, discover, purchase, ship, pick up, and donate goods. Unless a listing expressly identifies Faded Forward as the seller, the purchase contract is between the buyer and the third-party seller. We are not the manufacturer, owner, or seller of member-listed goods.

We may review, rank, moderate, remove, or restrict listings and accounts, but we do not guarantee every listing’s accuracy, legality, quality, safety, or availability. Search rankings and recommendations may consider relevance, recency, price, popularity, availability, and marketplace safety signals.

4 Listing and selling

When you list an item, you represent and agree that:

• you own the item or are authorized to sell it;
• the title, photos, brand, condition, size, price, and description are truthful;
• you disclose material wear, damage, alteration, missing parts, and safety issues;
• the item is authentic, lawful, safe, and not subject to a recall or third-party claim;
• you will honor an accepted order and ship or make the item available on time; and
• you will comply with tax, consumer-protection, product-safety, and other applicable laws.

You set your listing price. Any platform fees, delivery costs, discounts, or buyer charges will be disclosed before a transaction is completed. Do not move a transaction off-platform to avoid fees or protections.

You are responsible for suitable packaging, accurate package measurements, a valid shipping origin, and following carrier rules. We may cancel an order or withhold a payout if an item is unavailable, materially misrepresented, prohibited, disputed, or connected to suspected fraud.

5 Buying and offers

Review the full listing and total price before purchasing. Submitting an order authorizes the displayed charges and creates a commitment to purchase, subject to payment approval, item availability, fraud review, and any cancellation rights required by law.

An offer is not a completed sale until it is accepted and payment is successfully authorized. Items may sell or become unavailable while they are in your cart. We may cancel or correct a transaction affected by an obvious pricing, inventory, technical, or fraud-related error and will return amounts collected for a cancelled transaction.

Photos and screen colors may not perfectly reproduce an item’s appearance. Buyers should ask questions before purchasing and promptly inspect delivered items.

6 Payments, fees, and payouts

Payments are processed by Stripe or another payment provider identified at checkout. Their terms and privacy practices may also apply. You authorize us and our providers to charge the selected payment method for the order total, including item price, shipping, platform fees, optional impact contributions, and applicable taxes shown before purchase.

Sellers authorize us and our payment providers to receive buyer funds, deduct disclosed fees, reverse or hold funds associated with refunds, disputes, chargebacks, legal requirements, or suspected fraud, and send the remaining payout to the seller’s verified payout account. Payout timing is an estimate, not a guarantee.

You are responsible for taxes imposed on your activity, except taxes we are legally required to collect or remit. We may request tax documentation and report transactions as required by law.

7 Shipping and local pickup

Carrier rates, tracking, and delivery estimates are supplied by third parties and may change. Delivery dates are estimates unless expressly guaranteed. Sellers must use the label and service associated with the order, package the item safely, and provide the parcel to the carrier within the stated handling period.

For local pickup, buyers and sellers should communicate through Faded Forward, meet in a safe public place, inspect the item, and use any required in-app confirmation. Never share unnecessary financial or identity information.

If tracking shows a delay, loss, damage, or delivery problem, report it promptly through the Help Center. Carrier investigations and claims may require photos, packaging, receipts, or other cooperation.

8 Donations

Faded Forward may help you donate goods or money to participating organizations. Organizations are independent third parties and remain responsible for their programs, eligibility, acknowledgements, and use of donations.

Unless expressly stated otherwise, Faded Forward is not the charitable recipient and does not determine whether a contribution is tax-deductible. Donation values, impact estimates, badges, and points are informational and are not tax, legal, or accounting advice. Keep any receipt issued by the receiving organization and consult your own adviser regarding tax treatment.

Once accepted or delivered, donated goods may be sold, recycled, redistributed, or otherwise handled under the receiving organization’s policies and generally cannot be returned.

9 Buyer protection, refunds, and disputes

Buyer protection applies only as described at checkout or in our current Trust & Protection materials. Eligibility may depend on paying through Faded Forward, using approved delivery methods, reporting within the stated window, preserving the item and packaging, and providing requested evidence.

Contact the seller through Faded Forward and report a problem promptly. Do not return an item until return instructions are provided. We may review messages, listing details, tracking, payment records, photos, and other relevant information to decide whether to issue a refund, return, partial credit, payout, or other resolution.

Buyer protection does not cover off-platform payments, ordinary wear accurately disclosed, buyer’s remorse, fit issues where measurements were accurate, damage after delivery, or prohibited conduct. Nothing in these Terms limits non-waivable consumer rights.

10 Prohibited conduct and items

You may not use the Services to:

• sell counterfeit, stolen, recalled, illegal, unsafe, or rights-infringing goods;
• list weapons, controlled substances, hazardous materials, or regulated goods not expressly permitted;
• commit fraud, manipulate prices or reviews, launder money, or misuse promotions;
• harass, threaten, discriminate against, exploit, or deceive another person;
• send spam, malware, or unlawful content, or collect data without authorization;
• scrape, reverse engineer, disrupt, overload, or bypass security or access controls;
• evade fees, enforcement, account restrictions, sanctions, or legal obligations; or
• misrepresent environmental impact, charity affiliation, identity, or transaction history.

This list is not exhaustive. We may maintain additional prohibited-items and safety rules in the Help Center and may remove content or transactions that create legal, safety, fraud, or reputational risk.

11 Your content

You retain ownership of content you submit, including listing photos, descriptions, reviews, messages, and feedback (“User Content”). You grant Faded Forward a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt, format, display, distribute, and use User Content as reasonably necessary to operate, secure, improve, and promote the Services.

This license ends when the content is deleted, except where continued retention is reasonably required for completed transactions, backups, fraud prevention, legal compliance, or content already used in permitted marketing materials. You represent that you have all rights needed to submit User Content and grant this license.

You may send us ideas or feedback. We may use feedback without restriction or compensation, but we do not claim ownership of your underlying intellectual property.

12 Intellectual property

The Services, excluding User Content, are owned by Faded Forward or our licensors and are protected by intellectual-property laws. These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the Services for their intended purpose. They do not transfer ownership of our software, branding, designs, or content.

If you believe content on Faded Forward infringes your rights, submit a Report an Issue with your contact information, identification of the protected work, the exact listing or content location, the basis of your claim, and a statement that the information is accurate. We may remove content and contact the member who posted it.

13 Third-party services

The Services may rely on or link to payment processors, carriers, charities, identity providers, maps, analytics services, and other third parties. We do not control their services, availability, or independent practices. Your use of third-party services may be governed by separate terms, including Stripe’s legal terms .

14 Suspension and termination

You may stop using Faded Forward at any time. We may limit, suspend, or terminate access; cancel listings or transactions; hold payouts; or take other reasonable action when we believe you violated these Terms, created risk, failed verification, caused chargebacks or unpaid amounts, or when required by law.

Where appropriate, we will provide notice and an opportunity to contact support. We may act without advance notice when needed to protect members, secure the Services, preserve evidence, prevent loss, or comply with law.

Terms that by their nature should survive termination—including payment obligations, content licenses already exercised, disclaimers, liability limits, indemnity, and dispute provisions—will survive.

15 Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available.” Faded Forward disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee uninterrupted or error-free operation, that every member or item is trustworthy, or that a transaction will be completed.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

16 Limits on liability

To the fullest extent permitted by law, Faded Forward and its affiliates, officers, directors, employees, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits, data, goodwill, or opportunities; or losses arising from member conduct, third-party goods, or third-party services.

To the fullest extent permitted by law, our total liability for claims arising from the Services will not exceed the greater of US$100 or the fees you paid directly to Faded Forward during the 12 months before the event giving rise to the claim.

These limitations do not apply where prohibited by law or to liability that cannot lawfully be limited.

17 Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Faded Forward and its affiliates, officers, directors, employees, and agents from third-party claims, losses, and reasonable expenses arising from your listings, goods, User Content, use of the Services, violation of these Terms or law, or infringement of another person’s rights. This obligation does not apply to the extent a claim was caused by Faded Forward’s own unlawful conduct.

18 Changes and general terms

We may update these Terms to reflect new features, laws, risks, or business practices. We will post the revised Terms and update the effective date. When changes are material, we will provide reasonable notice through the Services or account contact information. Continued use after the effective date means you accept the revised Terms.

If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or transfer of the Services.

Events outside reasonable control—including carrier interruptions, utility failures, natural disasters, government actions, labor disputes, or network outages—may delay or prevent performance. These Terms and incorporated policies are the entire agreement between you and Faded Forward regarding the Services.
